These Terms & Conditions (“Terms”) apply to all use of the websites, apps and services provided by PJFC BV (“PJFC”, “we”, “us”, “our”). By using our Services, you agree to be bound by these Terms.

1. Definitions

In these Terms:

  • PJFC means PJFC BV, a private limited company incorporated under the laws of the Netherlands.
  • Services means all software, websites, SaaS products and applications provided by PJFC.
  • User means any natural person or legal entity using the Services.
  • Agreement means any agreement between PJFC and User regarding the use of the Services, including acceptance of these Terms.

2. Applicability

  • These Terms apply to all use of the Services, both free and paid.
  • Any terms and conditions of the User are explicitly rejected, unless accepted in writing by PJFC.
  • If any provision is invalid, the remaining provisions remain in full force.

3. Accounts and use of the Services

  • Certain Services require a User account. User is responsible for keeping login details confidential.
  • User ensures that information provided during registration or otherwise is accurate and up to date.
  • User must not use the Services in violation of law, to distribute unlawful content, or in a way that may damage or disrupt the Services.

PJFC may suspend or terminate access to the Services (or parts thereof) if User breaches these Terms or if this is necessary for security or operational reasons.

4. Licence and intellectual property

  • All intellectual property rights in relation to the Services, including but not limited to software, source code, design, text, images and logos, remain with PJFC or its licensors.
  • Subject to these Terms, PJFC grants User a non-exclusive, non-transferable, revocable licence to use the Services for personal or internal business purposes.
  • User may not copy, modify, decompile, reverse engineer or create derivative works from the software, except where permitted by mandatory law, nor resell, lease or sublicense the Services without prior written consent.

5. Free and paid Services

  • PJFC may offer both free and paid versions of the Services.
  • Prices for paid Services are shown in the relevant app store, on the Website or in a separate agreement, and are usually exclusive of VAT.
  • Payments are handled via payment service providers or app stores, which may apply their own terms.
  • PJFC may change the pricing and/or functionality of the Services and will, where reasonably possible, inform Users of significant changes in advance.

6. Availability and maintenance

  • PJFC aims to keep the Services reasonably available but does not guarantee uninterrupted or error-free availability.
  • PJFC may temporarily suspend the Services for maintenance, updates or improvements and will try to minimise impact on Users.

7. User content

  • If User uploads or submits content via the Services, User remains the owner of that content.
  • User grants PJFC a limited licence to use, store and process this content insofar as necessary to provide the Services.
  • User warrants that such content does not infringe rights of third parties and is not unlawful, and indemnifies PJFC against related claims.

8. “As is” disclaimer and no warranties

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, PJFC disclaims all warranties, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non‑infringement.

In particular, for free Services, User acknowledges that the Services may contain bugs, may be modified, suspended or discontinued at any time, and that no support or service levels are guaranteed.

9. Limitation of liability

To the maximum extent permitted by applicable law, PJFC is not liable for indirect, incidental, consequential or punitive damages, or for loss of profit, data or business interruption.

If PJFC is nevertheless liable, such liability is limited as follows:

  • for free Services: to an amount of EUR 0 (zero);
  • for paid Services: to the total amount of fees actually paid by User to PJFC for the relevant Service during the three (3) months preceding the event giving rise to the claim.

These limitations do not apply in case of wilful misconduct or deliberate recklessness by PJFC, or where such limitations are not allowed under mandatory law.

10. Force majeure

PJFC is not obliged to perform any obligation under the Agreement if performance is prevented due to force majeure (“overmacht”), including but not limited to: network or power outages, failures of hosting providers, cyber attacks, strikes, government measures, war, terrorism, natural disasters and other events beyond PJFC’s reasonable control.

11. Term and termination

  • The Agreement remains in force as long as User uses the Services or maintains an active account.
  • User may stop using the Services at any time and, where applicable, delete the account or uninstall the apps.
  • PJFC may terminate or suspend the Agreement or access to the Services if User breaches these Terms, or for business, legal or security reasons.
  • Upon termination, User’s right to use the Services ends immediately. Fees already paid are, in principle, non‑refundable, unless mandatory law requires otherwise.

12. Changes to the Services and these Terms

  • PJFC may update the Services and these Terms from time to time.
  • The most current version of the Terms will always be available on the Website.
  • If a change is materially detrimental to Users of a paid Service, PJFC will, where reasonably possible, provide prior notice.

13. Governing law and jurisdiction

These Terms and any disputes arising out of or in connection with them are governed by the laws of the Netherlands, without regard to conflict of law principles. Unless mandatory law provides otherwise, disputes will be submitted to the competent court in the district where PJFC has its registered office.
